1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and ShortGrab ("we", "us", or "our"), concerning your access to and use of the www.shortgrab.com website as well as any other media form, media channel, mobile website, or application related, linked, or otherwise connected thereto.

ShortGrab operates a Software-as-a-Service (SaaS) platform that identifies high-potential short-form video edit opportunities, applies fair-use transformations, and coordinates a marketplace for claiming exclusive video-publishing permissions.

By accessing the site, you warrant that you are at least 18 years of age and possess the legal authority to enter into this agreement. If you do not agree with all of these terms, you are prohibited from using the platform.

2. User Accounts & Responsibilities

a) Account Creation and Security

To use the Opportunity Board, claim exclusive permissions, or access premium assets, you may be required to register an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the confidentiality of your account login credentials.
• Promptly update your account details (such as email changes) to ensure continuous communication.
• Accept full responsibility for all activities that occur under your account dashboard.

b) User Conduct Rules

You agree not to use the ShortGrab SaaS platform to:

• Violate any local, state, national, or international laws, including copyright or intellectual property laws.
• Scrape, crawl, extract, or bulk-download video assets or metadata from our database using bots, scripts, or unofficial API hooks.
• Attempt to bypass access control measures, crack digital keys, or reverse-engineer our proprietary scoring models.
• Share login accounts across multiple individuals or resell access to the database itself.

c) Account Termination

We reserve the right, in our sole discretion, to suspend, disable, or terminate your account and block your IP address if we detect any suspicious activity, violations of these terms, or credit policy abuse. Account termination for terms violation will result in the immediate forfeiture of unused credits, without refund or compensation.

3. Intellectual Property

a) Platform Assets

Unless otherwise indicated, the website, design templates, layouts, logo assets, UI, algorithms, code libraries, database lists, and the "Retransformation Engine" are our proprietary property and are protected by copyright, trademark, and trade secret laws.

b) The Opportunity Claim Mechanism

Our platform provides custom, automated video edits designed to fit fair-use parameters. When you use your credit points to claim a specific opportunity from the Opportunity Board:

• ShortGrab issues you a digital Certificate of Exclusive Rights for that specific edited video asset.
• We remove the claimed opportunity from our public database permanently to prevent duplication.
• You are granted the exclusive, non-transferable permission to publish, distribute, and monetize that specific video edit on social media platforms (such as YouTube Shorts, TikTok, and Instagram Reels).
• Important: The raw underlying third-party video footage, background music, or third-party clips sourced by the AI engine may belong to their respective copyright holders. ShortGrab does not claim ownership of third-party copyrights, but warrants the specific creative compilation, modifications, and editing layers that make up the finished claimed asset.

4. Purchases & Payments

a) Credit Purchases and Subscriptions

ShortGrab operates on a credit-based model. You can claim opportunities using credit points. Credits can be received via free introductory packages or purchased in premium packages (e.g. Hustler, Mogul tiers).

• Billing Cycle: Recurring subscription packages are billed monthly on the anniversary date of signup.
• Stripe Integration: All credit card transactions, billing cycles, and invoices are handled securely via Stripe.
• Cancellation: You can cancel your monthly recurring packages at any time through your dashboard. Cancellation will stop future billing, but active credits already purchased will remain in your account until spent.

b) Refund Policy

Because ShortGrab delivers immediately downloadable digital media assets that are instantly locked and removed from public access upon claiming, all purchases are final and non-refundable. We do not offer refunds or credit exchanges once transaction orders are processed, except as mandated by local laws.

5. Limitation of Liability

a) System Downtime & Maintenance

We strive to maintain high platform uptime. However, ShortGrab is provided on an "as-is" and "as-available" basis. We do not guarantee that the service will be continuous, error-free, or completely free of bugs or downtime. We are not liable for any losses caused by server maintenance, service interruptions, or network delays.

b) Social Media Platform Risks

While our AI engine runs check sequences and provides virality and fair-use safety ratings:

• We do not guarantee that any claimed video edit will achieve virality, reach specific metrics, or earn money.
• Social media algorithms (such as YouTube, TikTok, and Instagram) are outside our control. We are not liable if a third-party platform flags your channel, changes monetization policies, or rejects content uploads.

c) Damage Caps

In no event shall ShortGrab, its directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages (including lost profits or lost data) arising from your use of the platform. Our maximum liability to you for any cause whatsoever will be limited to the amount paid, if any, by you to us during the six (6) month period prior to the cause of action.

6. Governing Law

These Terms and Conditions and your use of the website are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any legal action, dispute, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts located in New Delhi, India. You hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.
